AI Addendum

This AI Features Addendum (the "Addendum") applies to all HelmDocs features and functionality that incorporate artificial intelligence or machine learning (collectively, "AI Features"). This Addendum supplements and is incorporated into the HelmDocs Master Services Agreement (the "Agreement"). Capitalized terms not defined here have the meanings given in the Agreement. By enabling or using AI Features, Customer agrees to be bound by this Addendum.
1. Definitions
"AI Features" means any functionality within the HelmDocs platform that uses artificial intelligence, machine learning, or large language model technology to generate, suggest, analyze, summarize, or otherwise assist with content — including but not limited to AI-assisted writing, document summarization, smart suggestions, and automated formatting tools.
"AI Output" means content, text, suggestions, or other results generated by AI Features in response to Customer or User inputs. AI Output is treated as Customer Confidential Information and is not considered part of the HelmDocs platform itself.
"Improvement Data" means aggregated, anonymized data derived from AI Output and platform usage, used to improve the quality and performance of HelmDocs' AI Features. Improvement Data does not contain personally identifiable information or the actual substance of Customer Content.
"Training Data" means data used by HelmDocs or its AI providers to develop, train, or fine-tune the AI models underlying the AI Features. Training Data may include publicly available data, licensed third-party data, and Usage Data.
2. Ownership of AI Output
2.1 Customer Ownership. As between the parties, Customer owns all AI Output generated through its use of the AI Features, subject to the license granted in Section 2.2.
2.2 License to Process. Customer grants HelmDocs the right to process AI Output in the same manner it processes Customer Content under the Agreement — solely as necessary to provide, support, and improve the Services.
3. AI Training and Opt-Out
3.1 Use of AI Output for Improvement. Unless Customer opts out under Section 3.2, Customer grants HelmDocs a perpetual, irrevocable, royalty-free license to use AI Output to create Improvement Data for the purpose of developing and refining HelmDocs' AI Features. HelmDocs owns all Improvement Data and has no obligation to delete it upon expiration or termination of the Agreement. This Section survives termination.
3.2 Opt-Out. Customers who do not wish to contribute to AI training may opt out at any time through their account settings or by contacting their HelmDocs account representative. Opt-out applies on a going-forward basis and does not affect Improvement Data already derived from prior use.
4. HelmDocs' Rights in AI Features
HelmDocs retains exclusive ownership of the AI Features — including the underlying models, algorithms, and all improvements and learnings derived from their operation. Nothing in this Addendum grants Customer any rights in the AI Features beyond the right to use them as part of the Services during the Term.
5. Warranties and Disclaimers
5.1 Training Data Warranty. HelmDocs warrants that, to its knowledge, it has obtained sufficient rights or licenses to use the Training Data incorporated into its proprietary AI models. HelmDocs does not control and disclaims responsibility for training data used by third-party AI providers whose models are incorporated into the AI Features prior to HelmDocs' integration of them.
5.2 AI Output Disclaimer. AI Features are designed to assist, not replace, human judgment. HelmDocs makes no warranty that AI Output will be accurate, complete, appropriate, or fit for any particular purpose. AI Output may contain errors, omissions, or content that is incorrect or undesirable. Customer is solely responsible for reviewing AI Output before relying on or publishing it.
HELMDOCS DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — WITH RESPECT TO AI OUTPUT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY. AI FEATURES AND AI OUTPUT DO NOT CONSTITUTE LEGAL, FINANCIAL, REGULATORY, OR PROFESSIONAL ADVICE OF ANY KIND.
5.3 Non-Uniqueness. AI Features may generate similar or identical outputs for different users. HelmDocs does not warrant the uniqueness of any AI Output.
5.4 Indemnification Carveout. HelmDocs' indemnification obligations under the Agreement do not extend to claims arising from or related to AI Output where the claim results from: (a) Customer Content used as an input; (b) Customer's failure to review or validate AI Output before use; (c) Customer's modification of AI Output; or (d) Customer's use of AI Output in a manner it knew or should have known would infringe a third party's intellectual property rights.
6. Responsible Use of AI Features
Customer agrees to use AI Features responsibly and in accordance with HelmDocs' Acceptable Use Policy. In particular, Customer agrees not to use AI Features to:
Automate decisions with legal or significant personal consequences without meaningful human review
Generate individualized professional advice (including legal, medical, or financial advice) that is presented to end users as authoritative without qualified human oversight
Predict, profile, or categorize individuals based on protected characteristics such as race, religion, gender, sexual orientation, disability, or health status
Engage in academic dishonesty, plagiarism, or deliberate deception
Conduct activities that would be classified as high-risk AI use under the EU AI Act or equivalent applicable regulation
Customer is responsible for determining whether specific AI use cases are appropriate and compliant with laws applicable to Customer's business.
