Acceptable Use

This Acceptable Use Policy ("AUP") governs the use of Motif Software LLC. DBA HelmDocs' platform, websites, and related services (collectively, the "Services") by any customer, user, or other party accessing the Services (collectively, "You"). By accessing or using the Services, You agree to comply with this AUP. Terms not defined here have the meanings given in the HelmDocs Master Services Agreement.
The goal of this policy is simple: use HelmDocs responsibly, respect others, and don't do things that are harmful, deceptive, or illegal.
A. Prohibited Conduct
You agree not to use the Services to:
1. Infringe Intellectual Property. Reproduce, distribute, or transmit content that infringes any third party's copyright, trademark, trade secret, or other intellectual property rights. This includes uploading content you don't have the rights to use.
2. Violate Laws or Third-Party Rights. Engage in any activity that violates applicable laws or regulations, or that infringes, misappropriates, or violates any third party's rights — including privacy rights. You must have the appropriate rights, permissions, and consents before uploading or processing data about other individuals through the Services.
3. Distribute Harmful Content. Upload, transmit, or share content that is hateful, harassing, defamatory, discriminatory, obscene, threatening, or designed to harm individuals or groups. This includes unsolicited commercial messages (spam), phishing, and fraudulent content of any kind.
4. Introduce Malicious Code. Transmit viruses, malware, ransomware, or any code designed to interfere with, damage, or gain unauthorized access to the Services or any third-party system.
5. Reverse Engineer or Tamper. Attempt to decompile, disassemble, or reverse engineer any part of the Services. Probe, scan, or test the vulnerability of the Services without HelmDocs' explicit written authorization. Bypass or attempt to circumvent authentication, access controls, or security features.
6. Resell Without Authorization. Commercially resell, sublicense, or repackage the Services as a standalone offering for third parties, without entering into a separate reseller agreement with HelmDocs.
7. Impersonate Others. Misrepresent your identity or affiliation, or create accounts on behalf of organizations you do not represent. Do not remove or obscure any copyright, trademark, or proprietary notice within the Services.
8. Compete or Disparage. Use the Services to build a competing product or service, benchmark the Services for public competitive purposes without consent, or engage in conduct intended to disparage HelmDocs or the Services.
9. Overburden Infrastructure. Take any action that unreasonably or disproportionately burdens HelmDocs' infrastructure, or that interferes with the performance, security, or availability of the Services for other customers.
B. Prohibited AI Use
If You use HelmDocs' AI Features (as defined in the AI Features Addendum), You also agree not to:
1. Automate High-Stakes Decisions Without Human Review. Use AI Features to automate decisions that carry legal, financial, medical, or other significant consequences for individuals, without ensuring that a qualified human reviews and approves the final decision.
2. Generate Unauthorized Professional Advice. Use AI Features to produce individualized advice — such as legal, medical, tax, or investment guidance — that is presented to end users as authoritative, without review and sign-off from an appropriately licensed professional.
3. Profile Protected Characteristics. Use AI Features to predict, classify, or make decisions about individuals based on race, ethnicity, religion, political views, gender, sexual orientation, disability, health status, or other legally protected characteristics.
4. Deceive or Manipulate. Use AI Features to engage in plagiarism, academic fraud, or to create content designed to deceive, manipulate, or exploit others — including by impersonating real individuals or producing deliberately misleading information.
5. Engage in High-Risk AI Activities. Use AI Features in ways that would be classified as high-risk or prohibited under the EU AI Act or equivalent applicable regulation in your jurisdiction.
You are responsible for evaluating whether your specific AI use cases are appropriate, safe, and compliant with the laws applicable to your business and industry.
C. Data Restrictions
The Services are not designed or certified for use with Payment Card Industry (PCI) data or other categories of highly regulated payment information. Do not use the Services to store or process raw cardholder data such as full credit card numbers, CVVs, or magnetic stripe data.
D. Age Restriction
The Services are intended for use by individuals and organizations, not by consumers under the age of 18. By accessing the Services, You represent that You are at least 18 years old and legally authorized to enter into binding agreements on behalf of yourself or your organization.
E. Jurisdictional Restrictions
You are responsible for ensuring that your access to and use of the Services complies with the laws of your jurisdiction. You may not use the Services from, or on behalf of entities located in, any jurisdiction subject to a U.S. government embargo or designated as a sanctioned or terrorist-supporting country, or on behalf of any individual or entity on a U.S. government restricted parties list — unless You have obtained express written authorization from the applicable governing authority.
F. Copyright and DMCA
If You believe that content made available through the Services infringes your copyright, please notify HelmDocs at [email protected] with the information required by the Digital Millennium Copyright Act (DMCA) or equivalent applicable law. HelmDocs will investigate and take appropriate action, which may include removing or disabling access to the allegedly infringing content.

G. Enforcement
A violation of this AUP constitutes a material breach of the Master Services Agreement. HelmDocs reserves the right to investigate any suspected violation and to take remedial action at its sole discretion, including:
Warning the account holder
Suspending or terminating access to the Services
Removing or disabling access to specific content
Where HelmDocs has reasonable grounds to believe that a violation involves illegal conduct, it may report the matter to appropriate law enforcement authorities or regulators, including disclosing relevant account information as permitted by law.
H. Updates to this Policy
HelmDocs may update this AUP from time to time to reflect changes in the Services, applicable law, or industry standards. Updated versions will be posted on the HelmDocs website. Continued use of the Services following an update constitutes acceptance of the revised AUP, subject to any renewal or notification requirements in the Master Services Agreement.
